Definitions
(a) The “Customer” means any person or entity placing an order with Caterpal in the course of business.
(b) The “Goods” means any products or services sold or supplied by Caterpal.
(c) “Order” means any request or order to purchase Goods from Caterpal.
(d) “Website” refers to www.caterpal.ie or any successor site.
(e) The “Parties” means Caterpal and the Customer.
1. Validity
1.1 These Terms constitute the entire agreement between the Parties. Any Customer-provided terms are excluded unless agreed in writing.
1.2 Orders are subject to acceptance by Caterpal. Payment does not constitute acceptance.
1.3 Caterpal may update these Terms from time to time. Updated versions apply to all new Orders from the effective date.
2. Payment Terms
2.1 Standard Payment
Payment must be made in full at time of Order unless otherwise agreed. Orders will not be dispatched until payment is received in full. All prices are in Euro. Credit card payments may incur processing fees; no charge applies to debit cards.
2.2 Split Payment Plan (Commercial Customers Only)
Eligible business customers may apply for a Caterpal Split Payment Plan:
60% deposit due at order confirmation; 40% balance payable before delivery.
Title remains with Caterpal until full payment is received.
Failure to pay may result in withheld deliveries, repossession of goods, or additional charges in accordance with Irish commercial law.
This is a trade arrangement, not a regulated finance agreement.
2.3 Third-Party Finance
Where Customers use third-party finance or leasing agreements:
The finance provider is responsible for payment under its terms.
Goods ship only upon finance confirmation.
Caterpal accepts no liability for third-party finance agreements.
2.4 VAT & Pricing
Prices exclude VAT unless otherwise stated. VAT is charged according to Irish law. Caterpal reserves the right to correct pricing or description errors.
3. Termination
3.1 Caterpal may cancel any Order where payment is overdue.
3.2 Orders may be terminated if the Customer becomes insolvent or enters liquidation, examinership, or receivership.
3.3 Caterpal may suspend performance for force majeure events beyond its control.
3.4 Orders will be cancelled if the Customer is not legally permitted to purchase certain Goods.
4. Goods
4.1 Product descriptions and specifications apply as listed on the Website at the time of Order.
4.2 Colour/design choices depend on availability; substitutes may be offered with Customer consent.
4.3 Out-of-stock items may be cancelled, refunded, or replaced by agreement.
4.4 Orders accepted only from persons aged 18 or over.
5. Delivery
5.1 Standard delivery across Ireland for in-stock items is typically 24–48 hours; delays may occur for bulky or fragile items.
5.2 Delivery is to ground-floor entrances unless otherwise agreed. Additional handling is the Customer’s responsibility.
5.3 The Customer must ensure adequate access for delivery. Failed delivery due to access issues may incur charges.
5.4 Risk passes on delivery, but title remains with Caterpal until full payment.
5.5 Goods must be inspected on delivery. Any damage must be reported immediately before signing. Missing item claims must be made within 1 hour.
5.6 Caterpal is not liable for delivery delays outside its control (e.g., weather, carrier delays).
6. Returns
6.1 Returns are accepted only with prior approval and within 14 days of delivery.
6.2 Goods must be unused, in original packaging, and complete. A restocking fee (up to 50%) applies. Custom/special orders are non-returnable.
6.3 Faulty Goods will be repaired, replaced, or refunded at Caterpal’s discretion under warranty terms. Proof of purchase is required.
6.4 Customer covers return shipping unless otherwise agreed. Caterpal may refund shipping for defective goods.
7. Limitation of Liability
7.1 Caterpal’s liability is limited to the value of the Order. No liability for indirect, incidental, or consequential losses.
7.2 All implied warranties are excluded to the fullest extent permitted by law.
7.3 Goods are not insured in transit unless agreed in writing.
8. Retention of Title
8.1 Ownership remains with Caterpal until full payment is received.
8.2 Until then, Goods cannot be sold, pledged, or altered and must be stored securely and insured.
8.3 Caterpal reserves the right to repossess Goods in case of non-payment.
9. Jurisdiction & Notices
9.1 These Terms are governed by Irish law. Disputes are subject to the exclusive jurisdiction of Irish courts.
9.2 Notices may be served via post or email and are deemed received after 48 hours.
10. Intellectual Property & Privacy
10.1 All intellectual property rights remain with Caterpal or its licensors. No license is granted unless explicitly stated.
10.2 Data is processed according to our Privacy Policy available on the Website.
11. Warranty
11.1 Manufacturer warranties apply where provided.
11.2 Reconditioned equipment includes a limited Caterpal warranty (parts only unless otherwise agreed).
11.3 Goods sold “as-is” or marked “no warranty” are excluded from coverage.
11.4 Warranty applies only to ROI customers unless otherwise specified.
12. Warranty Exclusions
12.1 Excludes faults caused by misuse, poor maintenance, or unauthorised repair.
12.2 Consumables (gaskets, seals, bulbs) are excluded.
12.3 Damage from normal wear, accidental damage, or incorrect installation is excluded.
13. Warranty Process
13.1 Contact Caterpal with product code, serial number, proof of purchase, fault details, and site information.
13.2 We will assist with remote troubleshooting or dispatch an engineer if necessary. Charges apply if fault is outside warranty scope.
